The terms that govern your use of our website and services.

1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Starwebx Technologies Private Limited ("Starwebx", "we", "us", "our"), a company incorporated under the Companies Act, 2013 (India), with its registered office at Quaziwalichak, Bhagalpur, Bihar, India (UDYAM Registration: UDYAM-BR-07-0038364).

By accessing our website starwebx.in, submitting an enquiry, or purchasing any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Our Services

Starwebx provides technology and digital services, including but not limited to:

  • Website design and development
  • Mobile and web application development
  • E-commerce solutions
  • Digital marketing and SEO services
  • Software products, tools and related maintenance/support

The specific scope, deliverables, timelines and fees for any engagement are defined in the written proposal, quotation, invoice or order confirmation shared with you ("Project Agreement"). In case of conflict between a Project Agreement and these Terms, the Project Agreement prevails for that engagement.

3. Quotations, Fees & Payments

  • All fees are stated in the quotation or invoice issued to you. Prices may be quoted in Indian Rupees (INR) or, for international clients, in USD or other supported currencies.
  • Payments are processed securely through our third-party payment processors, including Stripe and other authorised payment gateways. We do not store your card details on our servers.
  • Unless otherwise agreed in writing, projects require an advance payment before work begins, with the balance payable as per the milestones in the Project Agreement.
  • All fees are exclusive of applicable taxes (including GST) unless expressly stated otherwise. Taxes will be added to invoices as required by law.
  • Late payments may result in suspension of work or services until dues are cleared.

4. Refund & Cancellation Policy

  • Cancellation before work begins: If you cancel a project before we have commenced work, you are entitled to a full refund of amounts paid, less any non-recoverable payment-processing fees.
  • Cancellation after work begins: If you cancel after work has commenced, fees for work already completed (calculated proportionately against the agreed milestones) are non-refundable. Any unused balance for work not yet started will be refunded.
  • Delivered work: Fees for milestones or deliverables that have been completed and delivered are non-refundable.
  • Subscription / recurring services (e.g., maintenance, hosting management, marketing retainers): You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees already paid for the current period are non-refundable.
  • Our failure to deliver: If we are unable to deliver the agreed services for reasons attributable to us, you will receive a refund for the undelivered portion.
  • Approved refunds are processed to the original payment method within 5–10 business days of approval. To request a refund, contact us at support@starwebx.in with your invoice/order reference.

5. Service Delivery

Our services and deliverables are provided electronically (via email, hosted deployment, code repositories, or other digital delivery). No physical shipment is involved. Estimated timelines are stated in the Project Agreement and depend on timely receipt of content, feedback and approvals from you. Delays caused by the Client (e.g., late content or approvals) extend timelines accordingly.

6. Client Responsibilities

  • Provide accurate information, content and materials required for the project, and ensure you have the rights to any content you supply.
  • Review and approve deliverables within reasonable timeframes.
  • Do not use our services for any unlawful, infringing, fraudulent or harmful purpose.

7. Intellectual Property

Upon receipt of full payment, ownership of the final custom deliverables created specifically for you transfers to you, unless otherwise stated in the Project Agreement. We retain ownership of our pre-existing tools, frameworks, libraries and know-how, for which you receive a non-exclusive licence to the extent needed to use your deliverables. We may showcase completed work in our portfolio unless you request otherwise in writing.

8. Warranties & Limitation of Liability

We perform our services with reasonable skill and care consistent with industry standards. Except as expressly stated, services are provided "as is" without warranties of any kind, express or implied.

To the maximum extent permitted by law, Starwebx's total aggregate liability arising out of or related to any engagement shall not exceed the total fees paid by you for that engagement. We are not liable for indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.

9. Third-Party Services

Projects may rely on third-party services (hosting providers, payment gateways such as Stripe, APIs, plugins, domain registrars). Those services are governed by their own terms, and we are not responsible for their availability, performance or policy changes.

10. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these Terms or the Project Agreement and fails to remedy the breach within 15 days of notice. Upon termination, you must pay for all work completed up to the termination date, and the refund rules in Section 4 apply.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to any mandatory law, the courts at Bhagalpur, Bihar, India shall have exclusive jurisdiction over any disputes. We encourage you to contact us first β€” most concerns can be resolved amicably.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
